1. Acceptance of these Terms

These Terms of Use ("Terms") govern your access to and use of the website located at emrystechnologies.com (the "Site"), operated by Emrys Technologies LLC, a California limited liability company ("Emrys Technologies," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

2. Who we are

Emrys Technologies LLC is a California limited liability company that develops and intends to operate a portfolio of software products, including product concepts referred to as Foster Companion and Kinship Gateway. This Site is the company's general informational website.

3. Purpose of this website

This Site provides general information about Emrys Technologies LLC and the products associated with it. It is intended for informational purposes only. The Site does not currently provide account registration, purchases, downloads, or any transactional functionality.

4. No offer, no solicitation

Nothing on this Site constitutes an offer to sell, a solicitation of an offer to buy, or an advertisement for the purchase or sale of any product, security, or service in any jurisdiction. References to products such as Foster Companion or Kinship Gateway describe items in development or under consideration and do not represent a commitment regarding their availability, features, pricing, or release timing. Any such product, if and when released, will be governed by its own separate terms of service and privacy policy.

5. Acceptable use

You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of the Site by, any third party. You agree not to:

• Attempt to gain unauthorized access to the Site, its servers, or any connected systems;
• Use any automated system (including bots, scrapers, or crawlers) to access the Site in a manner that sends more request messages than a human could reasonably produce in the same period;
• Interfere with or disrupt the Site's operation, security, or availability;
• Use the Site to transmit any unlawful, harassing, defamatory, or infringing material;
• Misrepresent your affiliation with Emrys Technologies LLC.

6. Intellectual property

The Site, including its text, graphics, logos (including the Emrys Technologies emblem and wordmark), and design, is owned by or licensed to Emrys Technologies LLC and is protected by applicable intellectual property laws. You may view and print pages from the Site for your own personal, non-commercial reference. You may not reproduce, distribute, modify, or create derivative works from any part of the Site without our prior written permission, except as permitted by applicable law.

7. Third-party links

The Site may reference or link to third-party websites or services that are not owned or controlled by Emrys Technologies LLC. We are not responsible for the content, privacy practices, or terms of any third-party site. Your use of third-party sites is at your own risk and subject to their own terms.

8. Text messaging (SMS) — future programs

Emrys Technologies LLC does not currently operate any SMS or text messaging program through this Site. This section describes the terms that will apply if and when such a program is introduced by Emrys Technologies LLC or one of its products, so that they are established in advance of any messaging campaign registration (including U.S. 10DLC campaign registration with mobile carriers).

• Consent and opt-in. Enrollment in any text messaging program will require your affirmative opt-in — for example, by entering your phone number and checking a consent box, or by texting a designated keyword. Consent to receive text messages will not be a condition of purchasing any product or service.
• Message frequency. Message frequency will vary depending on the program and will be disclosed at the point of opt-in.
• Costs. Message and data rates may apply, as charged by your mobile carrier.
• Opt-out. You may opt out of any text messaging program at any time by replying STOP to any message. You may reply HELP for assistance. After opting out, you may receive one final message confirming your opt-out.
• Carriers. Carriers are not liable for delayed or undelivered messages. Supported carriers may vary and are not guaranteed to include every carrier or handset.
• No sharing for third-party marketing. Mobile phone numbers and consent obtained through any Emrys Technologies LLC text messaging program will not be shared or sold to third parties for their own marketing or promotional purposes. This commitment applies specifically to SMS-originated mobile information and consent, independent of the general data practices described in our Privacy Policy.
• Program-specific terms. Any individual product's messaging program may publish additional, more specific terms at the time of its launch; those terms will supplement, and where they conflict will control over, this section.

9. Disclaimers

The Site and its content are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure, or that any information on the Site is complete, accurate, or current.

10. Limitation of liability

To the fullest extent permitted by applicable law, Emrys Technologies LLC and its members, managers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from or relating to your use of, or inability to use, the Site, even if we have been advised of the possibility of such damages.

11. Indemnification

You agree to indemnify and hold harmless Emrys Technologies LLC and its members, managers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your violation of these Terms or your misuse of the Site.

12. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or your use of the Site will be subject to the exclusive jurisdiction of the state and federal courts located in San Diego County, California, and you consent to personal jurisdiction in those courts.

13. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent revision. Material changes will be reflected by updating that date; continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
